1Definitions

• "Platform" refers to the Shopeazy e-commerce software, website, and related services.
• "Merchant" refers to any individual or business using the Platform to sell goods or services.
• "Customer" refers to any individual purchasing goods or services from a Merchant through the Platform.
• "Content" includes text, images, photos, audio, video, and all other materials uploaded to the Platform.
• "Fees" refers to all charges associated with using the Platform, including subscription fees and transaction fees.

2Acceptance of Terms

By creating an account, accessing, or using the Shopeazy Platform, you:

• Confirm that you are at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Agree to comply with all applicable South African laws and regulations
• Agree to these Terms of Service and our Privacy Policy

3Account Registration

3.1 Account Creation

To use the Platform, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

• Notify us immediately of any unauthorized access or security breach
• Ensure your account information remains accurate and up-to-date
• Not share your account credentials with third parties
• Not create multiple accounts for fraudulent purposes

4Fees and Payments

4.1 Subscription Fees

Shopeazy offers various subscription plans as detailed on our Pricing page. Fees are billed in advance on a monthly basis and are non-refundable except as required by law or as explicitly stated in these Terms.

4.2 Transaction Fees

In addition to subscription fees, Shopeazy charges a platform fee on each transaction processed through the Platform. Current rates are:

4.3 Payment Gateway Fees

Payment processing fees charged by third-party payment gateways (e.g., Paystack, Ozow, Yoco) are separate from Shopeazy fees and are the responsibility of the Merchant. All payouts are made in Rands (ZAR).

4.4 Billing and Renewal

• Subscriptions automatically renew unless cancelled
• Fees may change with 30 days notice
• Failed payments may result in account suspension
• All fees are exclusive of VAT unless otherwise stated

5Acceptable Use

You agree not to use the Platform to:

6Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you upload to the Platform. By uploading content, you grant Shopeazy a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of operating and improving the Platform.

6.2 Platform Intellectual Property

All rights, title, and interest in the Platform, including all intellectual property rights, remain the exclusive property of Shopeazy. You may not copy, modify, or create derivative works of the Platform.

7Termination

7.1 By You

You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current billing period.

7.2 By Shopeazy

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent or illegal activities
• Fail to pay fees when due
• Pose a security risk to the Platform or other users

8Limitation of Liability

To the maximum extent permitted by law, Shopeazy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our total liability shall not exceed the amount you paid to Shopeazy in the twelve (12) months preceding the claim.

9Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

10Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
